These terms of service (the “Terms”) set out the terms and conditions on which we provide our Service (as defined in section 2). Please read them carefully, because by signing up for or using the Service you acknowledge that you have read, understood, and agree to be legally bound by them.
1. Introduction
1.1 The Service is provided by Bayesian Energy Limited, a company registered in England and Wales under company number 13876917, whose registered office is at Senna Building, Gorsuch Place, London, United Kingdom, E2 8JF (“Bayesian Energy”, “Bayesian”, “we”, “us”, or “our”).
1.2 These Terms cover the Free Plan, which is the free, web-based version of the Service. Our Paid Plans and desktop application are subject to additional terms that we provide at the point of purchase. Where those additional terms conflict with these Terms, the additional terms apply to your use of the Paid Plan.
1.3 Our Privacy Policy also forms part of the Agreement and explains how we handle personal data.
2. Definitions
In these Terms, the words below have the meanings given to them. Words used in the singular include the plural and vice versa.
2.1 Account – the account you register in order to access and use the Service.
2.2 Agreement – your agreement with us for the use of the Service, made up of these Terms and, for Paid Plans, any additional terms that apply.
2.3 AI Providers – the third-party providers of the large language models that power Convexity AI, currently Anthropic, Google, and Moonshot AI.
2.4 Convexity or the App – our energy and power systems modelling application, including Convexity AI.
2.5 Convexity AI – the agentic AI feature within the App that can answer questions and carry out modelling tasks on your behalf.
2.6 Free Plan – the free, web-based version of the Service.
2.7 Paid Plans – our paid subscription plans, including access to the desktop application, as described on our pricing page.
2.8 Privacy Policy – our privacy policy, available at bayesian.energy/privacy.
2.9 Service – the App (including Convexity AI), the Website, and our related services.
2.10 Website – our website at bayesian.energy and any of its subdomains.
2.11 You or User – the person who uses the Service or, where the Service is used on behalf of an organisation, that organisation.
2.12 Your Content – the models, data, and other content you create or upload using the Service.
3. Accepting these Terms and signing up
3.1 These Terms form a binding agreement between you and us for the provision of the Service. That agreement takes effect from the moment you accept these Terms when you create your Account, and continues until it is ended in accordance with these Terms.
3.2 To use the Service, you must register an Account by following the sign-up instructions provided. If you do not agree to these Terms, you must not create an Account or use the Service.
3.3 The Service is intended for business and professional use, and not for personal or household use. It is aimed at organisations and at professional users such as freelancers, consultants, academics, and researchers who are using it in connection with their work.
3.4 When you sign up, you confirm that: (i) you are at least 18 years old and have the legal capacity to enter into these Terms; (ii) you are using the Service for purposes relating to your trade, business, profession, or academic or scientific work, and not for personal or household purposes; (iii) if you are signing up on behalf of an organisation, you have authority to accept these Terms on its behalf, in which case “you” means that organisation; and (iv) the information you provide is accurate, complete, and current, and you will keep it up to date.
3.5 To support this, you must register using a valid business, organisational, or institutional email address. We may refuse, block, or close Accounts that are registered using personal or free webmail email addresses.
3.6 We may, but are not required to, carry out checks to verify your identity or eligibility, whether before activating your Account or at any time afterwards. We may refuse to activate, or may suspend or close, an Account if we have reasonable grounds to believe that the information you have given is inaccurate, that the Account does not belong to a business or professional user, that the Service is being used for personal purposes, or that the Account is otherwise being used in breach of these Terms or in a manner we consider suspicious.
3.7 Once your Account has been created, the Free Plan is available to you straight away, and no payment is required to access it. Paid Plans begin in accordance with the additional terms that apply to them.
3.8 Although the Free Plan is free to access, some features within the Service are charged on a pay-per-use basis — for example Convexity AI usage, cloud computing used to run solves, data storage, and access to data APIs. These features are optional, and charges only apply where you choose to use them. Where you do, you agree to pay the applicable charges shown in the App. Further details of fees and payment are set out in the “Fees and payment” section below.
4. Service
4.1 The Service gives you access to Convexity, our energy and power systems modelling application, including Convexity AI. Through it you can build, inspect, run, and analyse energy and power systems models. On the Free Plan, the Service is provided as a web-based application; Paid Plans additionally include access to our desktop application, as described on our pricing page.
4.2 The Service is hosted in the cloud and accessed through the App’s web interface and, on Paid Plans, the desktop application. Certain features, such as our data APIs, allow programmatic access. Some features rely on third parties, including the AI Providers and the cloud-computing, storage, and data providers we use to deliver Convexity AI, run solves, store data, and provide data feeds.
4.3 To use the Service, you provide the models, data, parameters, and other inputs it needs to work (Your Content). You are responsible for ensuring that Your Content is accurate and that you have all rights necessary to use it with the Service.
4.4 The Service is an evolving product. We may modify, enhance, update, or discontinue features and functionality from time to time at our discretion, and we may set or change usage limits. We will give reasonable notice of material changes where we can. Because the Free Plan is provided free of charge, we may also change, limit, suspend, or withdraw all or part of it at any time, and we are not obliged to continue offering it.
4.5 Convexity AI generates its outputs automatically using third-party AI Providers. Those outputs may be inaccurate, incomplete, or unsuitable for your purposes. You are responsible for reviewing and verifying any output before relying on it, and for any decisions you make based on it.
4.6 You should not enter personal, confidential, or sensitive information into Convexity AI. Your use of Convexity AI is also subject to the relevant AI Provider’s terms, as explained in our Privacy Policy.
4.7 You are responsible for providing the devices, software, and internet connection needed to access and use the Service. We are not responsible for any faults, limitations, or costs relating to your own equipment, software, or connectivity.
4.8 We are an early-stage company, and the Service is under active development. While it is ready to use, it may contain bugs, errors, or incomplete features, and we change and improve it on an ongoing basis. The Service is provided on the basis set out in the “Liability” section below.
5. Your account
5.1 You are responsible for keeping your login details secure and for not sharing them with anyone else. You are responsible for all activity that takes place under your Account.
5.2 If you believe your Account has been accessed or used without your permission, you must tell us promptly at contact@bayesian.energy.
6. Acceptable use
6.1 You must comply with these Terms and all applicable laws when using the Service.
6.2 You agree that you will not, and will not attempt to:
- breach any applicable law or regulation, or infringe the rights of others, including their intellectual property, privacy, or data protection rights;
- use the Service for any unlawful, harmful, fraudulent, or deceptive purpose;
- gain or attempt to gain unauthorised access to the Service, other accounts, or our or others’ systems, or interfere with their normal operation or security;
- copy, scrape, reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service, except to the extent the law does not allow us to prevent this;
- resell, sublicense, rent, lease, or otherwise make the Service available to third parties, except as we expressly permit;
- circumvent or attempt to circumvent any usage limits, access controls, billing, or security measures;
- misuse Convexity AI, including by attempting to make it reveal confidential information, bypass its safeguards, or generate unlawful or harmful content;
- upload or transmit malware, or any material that is unlawful or infringing;
- use the Service to build, train, or improve a competing product or service; or
- place an unreasonable or disproportionately large load on our infrastructure, or otherwise disrupt the Service for other users.
6.3 We keep records of how the Service is used so that we can detect, investigate, and prevent misuse, as described in our Privacy Policy.
6.4 If you breach this section, we may suspend or close your Account and take any other steps available to us under these Terms (see the “Suspension and termination” section below).
7. Support and availability
7.1 We will use commercially reasonable efforts to keep the Service available, but we do not guarantee that it will be available, uninterrupted, timely, secure, or error-free. Access may be suspended or restricted from time to time, for example to carry out repairs, maintenance, or updates, or to introduce new features.
7.2 The Service depends on third-party providers, including the AI Providers and our cloud-computing, storage, and data providers, which may experience their own outages, delays, or changes. A disruption, delay, or failure caused by a third-party provider, or the temporary unavailability of a feature that depends on one, is not a breach of these Terms.
7.3 We do not provide 24/7 support. You can contact us with questions or to report issues by emailing contact@bayesian.energy or through our community Slack, and we will aim to respond within a reasonable time. Support is provided in English. We are not obliged to provide support for the Free Plan, and the level of support may differ between the Free Plan and Paid Plans.
7.4 We will use reasonable efforts to let you know about any major outage we are aware of, for example by email or through a status page, and to provide updates on progress.
7.5 Unless we have expressly agreed a service level agreement (SLA) with you in separate terms, this section does not create an SLA. Our failure to meet any of the objectives in this section does not entitle you to any fee reduction, credit, or refund, and our liability is subject to the “Liability” section below.
8. Fees and payment
8.1 The Free Plan is free to access. Some features within the Service are charged on a pay-per-use basis, and our Paid Plans are charged on a subscription basis. The fees and charges that apply (the “Fees”) are those displayed in the App or on our pricing page, or otherwise notified to you, at the time you use the relevant feature or subscribe.
8.2 Certain features, such as Convexity AI usage, cloud computing used to run solves, data storage, and data APIs, are charged on a pay-per-use basis at the rates shown in the App. To use them, you add funds to your Account as prepaid credit, and charges are deducted from your credit balance as you use those features. Account top-ups are processed through Stripe, our third-party payment processor, and are also subject to Stripe’s own terms. You are responsible for providing accurate and current payment details.
8.3 Our Paid Plans, including Convexity desktop licences, are invoiced and paid by bank transfer, in accordance with the additional terms provided to you at the point of purchase.
8.4 All Fees are exclusive of VAT and any other applicable taxes, levies, or duties, unless stated otherwise. You are responsible for paying these in addition to the Fees, except for taxes on our own income.
8.5 We may change our Fees from time to time. For Paid Plans, any change takes effect at the start of your next billing cycle, and we will give you at least 30 days’ notice. For pay-per-use charges, changes apply to usage after the updated rates are displayed.
8.6 If your prepaid credit balance is insufficient, the relevant pay-per-use features will be unavailable until you top up. For Paid Plans, if an invoice is overdue we may suspend or restrict your access until payment is made.
8.7 Except where the law requires otherwise, including any statutory cancellation rights you have as a consumer, Fees and prepaid credit are non-refundable. We do not provide refunds or credits for partial subscription periods, for unused prepaid credit, or for features or usage you have not used while your Account remains open.
9. Intellectual property
9.1 The Service, the App, the Website, and any APIs, together with all intellectual property rights in them, belong to us or our licensors. This includes the software and source code, algorithms, models, designs, and look and feel; the Convexity and Bayesian Energy names, logos, and trade marks; domain and business names; and trade secrets and know-how. It also includes any intellectual property we create in the course of providing the Service, including further developments of and improvements to the Service, whether or not made at your request.
9.2 We grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable licence to use the Service for its intended purpose, in accordance with these Terms and only for as long as the Agreement is in force. We reserve all rights not expressly granted to you.
9.3 Except as expressly permitted by these Terms or by applicable law, you must not, and must not allow anyone else to: (i) reverse-engineer, decompile, disassemble, or attempt to discover the source code, structure, ideas, or algorithms of the Service; (ii) modify, translate, or create derivative works based on the Service; or (iii) use the Service to develop a competing product or service.
9.4 You keep ownership of the content and models you create using the Service. Your rights and the rights you grant us are set out in the “Your content” section below.
9.5 If you give us feedback, suggestions, or ideas about the Service, we may use them for any purpose without any obligation or payment to you, and you grant us a perpetual, irrevocable, worldwide, royalty-free licence to do so. You are not obliged to give us feedback.
10. Your content
10.1 You keep ownership of Your Content and of all intellectual property rights in it. Nothing in these Terms transfers ownership of Your Content to us.
10.2 You grant us a non-exclusive, worldwide licence to host, store, process, copy, and display Your Content to the extent necessary to provide, maintain, secure, and improve the Service for you. This licence lasts only for as long as needed for those purposes.
10.3 We may also use Your Content in an aggregated and anonymised form, meaning in a form that does not identify you or any individual, to develop, enhance, and validate our products, models, and algorithms, and for other analytical and business purposes. This right is perpetual and continues after the Agreement ends.
10.4 You are responsible for Your Content, and you confirm that you have all rights necessary to provide it to us and to allow us to use it as described in these Terms. You must not upload or submit content that is unlawful or that infringes the rights of others.
10.5 Where we process personal data in connection with the Service, we do so in accordance with our Privacy Policy.
11. Third-party services and models
11.1 The Service may rely on, incorporate, or give you access to third-party services, data, and models, including energy models made available under their own licences. This includes the AI Providers and the cloud-computing, storage, and data providers referred to in these Terms.
11.2 Your use of any third-party service, data, or model is governed by that third party’s own terms and licences. Where a model or dataset is made available under a licence, for example an open-source or Creative Commons licence, you are responsible for complying with that licence, including any attribution requirements or use restrictions.
11.3 We are not responsible for third-party services, data, or models, or for their availability, accuracy, or content.
12. Liability
12.1 The Service, including the App, the Website, any APIs, and all outputs, is provided on an “as is” and “as available” basis, without representations or warranties of any kind, whether express or implied, except as expressly stated in these Terms and except for any that cannot be excluded by law.
12.2 In particular, we do not warrant that: (i) the Service will meet your requirements; (ii) it will be compatible with your hardware or software; (iii) your use of it will be uninterrupted, timely, or available at any particular time or place; (iv) it will be secure, error-free, or free of viruses or other harmful components; or (v) any defects will be corrected.
12.3 The Service and its outputs, including modelling results and Convexity AI responses, are provided for information only and do not constitute professional, engineering, financial, investment, or legal advice. Outputs may be inaccurate or incomplete, and you are responsible for verifying them and for any decisions you make based on them. We are not liable for any loss arising from inaccurate or erroneous outputs, models, forecasts, or AI responses.
12.4 Nothing in these Terms limits or excludes our liability where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, and any other liability that cannot be limited or excluded under applicable law. If you are a consumer, you also keep the benefit of any legal rights that cannot be excluded.
12.5 Subject to clause 12.4, we are not liable for any loss of profits, revenue, business, goodwill, anticipated savings, or data, or for any indirect or consequential loss, in each case whether arising in contract, tort (including negligence), breach of statutory duty, or otherwise.
12.6 Subject to clause 12.4, our total aggregate liability to you arising out of or in connection with the Service and these Terms shall not exceed the greater of (a) the total charges you paid us for the Service in the 12 months before the event giving rise to the claim, and (b) one hundred pounds (£100).
12.7 You agree to indemnify us against any losses, damages, and reasonable costs we reasonably incur arising out of your breach of these Terms or your misuse of the Service. This does not apply to the extent the loss results from our own breach or negligence, and, if you are a consumer, it applies only to the extent permitted by law.
13. Validity, amendments and termination
13.1 The Agreement starts when you accept these Terms on creating your Account, and continues until it is terminated in accordance with this section.
13.2 We may change these Terms from time to time. Where we make material changes, we will give you reasonable notice, and in any event at least 30 days’ notice, for example by posting a notice in the App or on our Website or by contacting you. The change takes effect on the date we specify. If you do not agree to a change, you may terminate the Agreement and stop using the Service before it takes effect; if you continue to use the Service after that date, you will be treated as having accepted the change. We may also change the Service itself, as described in the “Service” section above.
13.3 You may stop using the Service and close your Account at any time. For Paid Plans, termination takes effect at the end of your then-current licence period, and you will not be entitled to a refund of any prepaid Fees or unused prepaid credit, except where the law requires otherwise.
13.4 We may terminate the Agreement, or suspend or restrict your access to all or part of the Service, by giving you reasonable notice. Because the Free Plan is provided free of charge, we may also suspend or withdraw it at any time, as described in the “Service” section above.
13.5 We may suspend or terminate your access immediately, and without notice, if: (i) you materially breach these Terms and, where the breach can be put right, you fail to do so within 14 days of us asking; (ii) you fail to pay Fees when due; (iii) you breach the “Acceptable use” or “Intellectual property” sections; or (iv) we are required to do so for legal, regulatory, or security reasons.
13.6 On termination, your right and licence to use the Service end, and you must stop using it. We may delete Your Content after a reasonable period, so you should keep your own copies of anything you need.
13.7 Any provisions of these Terms that by their nature are intended to survive termination will continue to apply, including those on intellectual property, Your Content and our data rights, liability, Fees already incurred, and governing law and disputes.
14. Governing law and disputes
14.1 These Terms, and any dispute or claim arising out of or in connection with them, are governed by and construed in accordance with the laws of England and Wales.
14.2 If a dispute arises, we both agree to make reasonable efforts to resolve it amicably before starting court proceedings. You can raise any dispute with us at contact@bayesian.energy.
14.3 The courts of England and Wales have non-exclusive jurisdiction over any dispute or claim arising out of or in connection with these Terms. If you are a consumer resident elsewhere in the United Kingdom, you may also bring proceedings in your home jurisdiction.
15. General
15.1 These Terms, together with our Privacy Policy and any additional terms that apply to Paid Plans, form the entire agreement between you and us relating to the Service and replace any previous agreement between us on that subject.
15.2 If any provision of these Terms is found to be invalid or unenforceable, the rest of the Terms will remain in force. We will both try, in good faith, to replace the affected provision with a valid one that reflects what was originally intended.
15.3 If we do not enforce a right or provision of these Terms, that is not a waiver of that right or provision, and it does not prevent us from enforcing it later.
15.4 We may transfer our rights and obligations under these Terms to another organisation, for example as part of a sale or reorganisation of our business. This will not affect your rights under these Terms. You may not transfer your rights or obligations to anyone else without our prior written consent.
15.5 These Terms do not create any partnership, agency, or employment relationship between you and us, and no one other than you and us has any right to enforce them.
15.6 We are not liable for any failure or delay in performing our obligations under these Terms that is caused by events beyond our reasonable control, including failures of internet, hosting, or other third-party services, power or equipment failures, strikes, or acts of government.
